Shelf Distribution Defined
Method of distributing shares in which the seller registers the shares with the SEC, but does not immediately sell them to the public . The shares are "put on the shelf" and held for later sale at any time within two years of the registration that market conditions seem appropriate. Originally designed for use by insiders of the issuer, such as major shareholders who own unregistered shares acquired directly from the issuer, but now expanded to allow issuers to use the process.
